1. DEFINITIONS

For the purposes of these Terms and Conditions, the following definitions shall apply:

• "The Owner": Jose Vicente Angles Ciurana, with NIF 47824098Z, owner and operator of the Website and the ComandIA Solutions technology ecosystem.
• "The Website": the site accessible from the domain comandiasolutions.com and any associated subdomains.
• "ComandIA Solutions": a B2B SaaS (Software as a Service) technology ecosystem powered by artificial intelligence for the hospitality industry, comprising the products ComandIAvoz (voice ordering, digital menus and analytics) and ComandIAstock (stock control, delivery notes and supplier orders), among others.
• "The User": any natural or legal person who accesses the Website, regardless of whether they complete the contact form.
• "The Client": any legal entity or hospitality professional who enters into a contractual relationship with the Owner for the use of any of the ComandIA Solutions ecosystem products.

2. B2B NATURE OF THE SERVICE

ComandIA Solutions is a software-as-a-service (SaaS) ecosystem designed exclusively for professional use in the hospitality and catering industry. The services are aimed at entrepreneurs, self-employed professionals and legal entities operating hospitality establishments (hereinafter, "Professionals").

Access to the informational Website is open to the general public. However, contracting ComandIA Solutions services is reserved exclusively for Professionals acting within the scope of their business or professional activity, excluding contracting by end consumers as defined by Royal Legislative Decree 1/2007, of November 16, approving the revised text of the General Law for the Defence of Consumers and Users.

3. ACCEPTANCE OF TERMS

Access to and use of the Website implies full and unconditional acceptance of all these Terms and Conditions, as well as the Legal Notice and Privacy Policy published on the Website. If the User disagrees with any of the conditions set forth herein, they must refrain from accessing or using the Website.

4. SERVICE DESCRIPTION

The ComandIA Solutions ecosystem offers, by way of illustration and not limitation, the following functionalities:

• Order taking through artificial intelligence-based voice recognition, with multilingual capability.
• Automated digitisation of menus through photo scanning or voice dictation.
• Management panel with operational data analytics for the establishment.
• Order traceability system with time-stamped records.
• Inventory monitoring and waste control tools.

The specific functionalities, service conditions, service level agreements (SLA) and service pricing shall be determined in the licence agreement formalised, as applicable, between the Owner and the Client.

5. INTELLECTUAL AND INDUSTRIAL PROPERTY

All intellectual and industrial property rights over ComandIA Solutions products (including ComandIAvoz and ComandIAstock), their source code, artificial intelligence algorithms, natural language processing models, interface design, databases, technical documentation, trademarks, logos and any other creative or technological elements are the exclusive property of Jose Vicente Angles Ciurana.

The following is strictly prohibited without prior written authorisation from the Owner:

• Reproducing, copying, distributing, publicly communicating or transforming, in whole or in part, the contents of the Website or ComandIA Solutions products.
• Reverse engineering, decompiling, disassembling or attempting to extract the source code of the software.
• Using web scraping, data mining or automated data extraction techniques on the Website.
• Registering domains, trademarks or distinctive signs containing the names "ComandIA Solutions", "ComandIAvoz", "ComandIAstock" or confusingly similar terms.

6. USE OF THE CONTACT FORM

The contact form on the Website is provided for receiving information and demonstration requests for ComandIA Solutions services from Professionals in the hospitality industry.

The User completing the form declares and warrants that:

• The data provided is truthful, accurate, complete and up to date.
• They have sufficient legal capacity to provide such data and, where applicable, to represent the indicated hospitality establishment.
• They have read and accepted the Website Privacy Policy.

The Owner reserves the right not to respond to requests containing manifestly false or incomplete data, or that do not correspond to hospitality industry establishments.

7. DISCLAIMER OF LIABILITY

The Website is exclusively for informational purposes and commercial lead generation. The information contained therein does not constitute professional advice of any kind.

The Owner shall not be liable for:

• Damages arising from interruptions, failures, omissions, delays or blockages in the operation of the Website caused by telecommunications deficiencies, system overload, or force majeure.
• Business decisions made by the User based on the information contained on the Website.
• Content and services hosted on third-party websites accessible through links from the Website.
• Data, results or metrics published on the Website of an estimated or indicative nature, which are based on average industry observations and do not constitute a guarantee of specific results.

8. WEBSITE AVAILABILITY

The Owner does not guarantee the continuous and uninterrupted availability of the Website and reserves the right to suspend, modify or discontinue, temporarily or permanently, access thereto without prior notice and without generating any right to compensation in favour of the User.

9. MODIFICATION OF TERMS

The Owner reserves the right to modify these Terms and Conditions at any time and without prior notice. Modifications shall take effect from their publication on the Website. Continued use of the Website following the publication of modifications shall constitute tacit acceptance thereof.

10. PARTIAL NULLITY

If any provision of these Terms and Conditions is declared null or unenforceable by a final court ruling, such nullity shall not affect the validity of the remaining provisions, which shall retain their full force and effect.

11. APPLICABLE LAW AND JURISDICTION

These Terms and Conditions are governed by and construed in accordance with current Spanish law. For the resolution of any disputes that may arise in relation to the interpretation, compliance or execution of these Terms, the parties submit to the jurisdiction of the Courts and Tribunals of the Owner's domicile, with express waiver of any other jurisdiction that may apply, to the extent permitted by applicable law.
